TERMS OF AGREEMENT (TOA)

The Bin Men, LLC

These Terms of Agreement (“TOA”) govern all services provided by The Bin Men, LLC (“Company,” “we,” “us,” or “our”). By booking, scheduling, subscribing to, or using our services, the customer (“Client,” “you,” or “your”) acknowledges that they have read, understood, and agree to be legally bound by these Terms.

1. Service Acknowledgment

Client acknowledges that The Bin Men, LLC utilizes commercial sanitation equipment operating at temperatures of up to 220 degrees Fahrenheit. By engaging our services, Client expressly authorizes and consents to the performance of services using such equipment on designated trash and/or recycling bins.

2. Scope of Services

The Company shall provide the following services:

• Capture a “before” photographic image of each scheduled trash bin and recycling bin prior to service.
• Clean and sanitize the interior surfaces of designated bins.
• Capture an “after” photographic image upon completion of service.
• Provide photographic confirmation to the Client as proof of service completion.

No Re-Service Policy:
Once services are rendered and documented, The Bin Men, LLC does not offer refunds, redo services, or makeup appointments.

3. Payment & Service Conditions

• All invoices must be paid in full prior to the scheduled service date.
• Bins must be completely empty at the time of service.
• No pet waste, oil or fecal matter may be present inside bins.
• Any trash bags, loose items, or debris left inside bins will result in rescheduling with $9.99 rescheduling/service fee which will be applied to the next invoice if bins are not properly prepared.

4. Booking & Payment Policy

4.1 Acknowledgment of Service & Payment Commitment

Client confirms understanding of the services provided and agrees to remit payment as required at booking or upon service completion.

4.2 No Unauthorized Chargebacks

Client agrees not to dispute, reverse, or initiate chargebacks for valid services rendered. Fraudulent disputes may result in collection actions, including legal enforcement, to recover outstanding balances.

4.3 Mutual Business Integrity

The Bin Men, LLC operates with honesty, professionalism, and transparency. Client agrees to conduct business ethically and in good faith.

Bin Condition & Damage Disclaimer

• The sanitation process does not damage standard bin surfaces.
• The Company is not responsible for adhesive removed during process. (e.g., stickers, decals).
• Certain small bins may have caster wheels that may detach due to high-pressure cleaning.
• Client agrees not to hold The Bin Men, LLC liable for these conditions.

Maggots & Infestation Policy

The Bin Men, LLC provides sanitation services only and does not offer extermination or pest control services.

• Complete eradication of maggots, larvae, or eggs is not guaranteed.
• Maggots may persist in inaccessible crevices beyond equipment reach.(inside actual bin plactic molding through holes or cracks)
• The Company is not liable for the presence or reappearance of maggots following service.
• Persistent infestations require a licensed extermination or pest control provider.

Cancellation Policy

• Monthly clients may cancel up to two (2) times per rolling 12-month period.
• Cancellations must be made at least 48 hours prior to service.
• Cancellations within 48 hours incur a $9.99 rebooking fee.
• Same-day cancellations require full payment unless rescheduled (additional $9.99 fee applies).
• Clients outside Prince George’s County may incur a $9.99 travel fee.

8. Inclement Weather Policy

• Services will be postponed due to snow, ice, freezing rain, extreme cold, or unsafe conditions.
• No refunds will be issued; services will be rescheduled.
• Rain-related rescheduling will occur at no additional cost.

9. Subscription & Recurring Payments

• Client authorizes The Bin Men, LLC to charge the credit/debit card or bank account on file for recurring services.
• A valid payment method is required prior to initiation of monthly, bi-monthly, or quarterly subscriptions.
• Charges are processed prior to service rendering.
• Client certifies authorization to use the provided payment method and agrees not to dispute valid charges.

Breach, Non-Payment, or Abuse of Subscription Terms

• If a subscription is cancelled due to Client breach, including but not limited to non-payment, repeated payment failures, fraudulent chargebacks, or abuse of billing policies, Client remains fully obligated to pay the entire remaining balance of all scheduled services under the subscription term.
• The remaining balance shall become due and payable.
• The Company may charge the payment method on file or pursue collection and legal remedies.
• Cancellation under these circumstances does not release Client from financial obligations.

10. Important Payment Notices

• Apple Pay is not accepted. Payments mistakenly processed via Apple Pay are non-refundable if disputed.
• Late payments may incur additional fees.
• Payments due on weekends or holidays will process the next business day.
• Delinquent accounts may be subject to legal enforcement.

Intellectual Property Rights

All trademarks, logos, photographs, and proprietary content associated with The Bin Men, LLC and www.thebinmendmv.com are the exclusive property of the Company. Unauthorized reproduction or distribution is prohibited.

12. Limitation of Liability

Services are provided “as is.” The Bin Men, LLC shall not be liable for indirect, incidental, consequential, or economic damages, including lost profits. No warranties are provided beyond those required by law.

13. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including acts of God, natural disasters, governmental restrictions, war, riots, or civil disturbances.

14. Acceptance of Terms

By booking, subscribing to, or using services provided by The Bin Men, LLC, Client acknowledges acceptance of these Terms. The Company reserves the right to update these Terms at any time. The most current version will be available at www.thebinmendmv.com.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland. Any legal action arising from these Terms or services shall be brought exclusively in a court of competent jurisdiction within the State of Maryland. Client waives any objection to venue or jurisdiction.

16. Attorney’s Fees & Costs

In any action to enforce these Terms, collect unpaid amounts, or address a breach, The Bin Men, LLC shall be entitled to recover all reasonable attorney’s fees, court costs, collection costs, and related expenses, whether or not litigation is formally initiated. This provision survives termination.

17. Waiver of Jury Trial

To the fullest extent permitted by law, Client knowingly, voluntarily, and irrevocably waives the right to a trial by jury in any dispute arising out of or relating to these Terms or services.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

19. Survival

All provisions which by their nature should survive termination or cancellation — including but not limited to payment obligations, subscription breach provisions, limitation of liability, governing law, jurisdiction, attorney’s fees, and waiver of jury trial — shall survive the termination of services.

20. Entire Agreement

These Terms constitute the entire agreement between the Client and The Bin Men, LLC and supersede all prior or contemporaneous agreements or representations, whether written or oral. Any modification must be made in writing and authorized by The Bin Men, LLC.
